Overview
Princess Fuller focuses her practice on both mergers & acquisitions and private equity transactions across a variety of industries. Princess also advises on energy and infrastructure matters including representing clients on the development, structuring and negotiation of complex project financing transactions and negotiating credit, security and purchase agreements on behalf of sponsors, developers and lenders.
Princess was an honors program intern for the US Securities and Exchange Commission (SEC), Enforcement Division and a district intern for the US House of Representatives for the late Congressman John Lewis.
During law school, Princess was a contributor to the Georgetown Environmental Law Review.
Results
- Represented a solar and storage developer in connection with tax equity investments in its distributed generation portfolios of commercial-scale and community solar projects being developed throughout the United States
- Advised an investment fund in its sale of a healthcare lending platform for approximately $100 million
- Advised the Clermont Group on its investment into Post Era, Inc.
- Advised a private equity and alternative asset fund in its acquisition of a healthcare practice
- Represented a renewable energy fund in a $350 million acquisition of a solar portfolio comprised of 76 distributed solar energy projects with total capacity of 204 MW*
- Represented a solar developer, as borrower, in connection with a $16 million financing for solar mini-grids in East Africa, with a private foundation acting as the lender*
- Advised a private equity sponsor and developer in connection with its bond offering of $245 million for an infrastructure project in Latin America*
- Advised a private equity fund in the formation of a joint venture with a renewable energy developer and tax equity arranger, together with the acquisition of certain operating and development-stage solar projects from the developer*
- Advised a private equity firm in a joint venture, investing $200 million to obtain up to a 50% stake in a renewable energy-focused investment vehicle*
- Represented an investment bank in a $90 million senior secured term loan credit facility with a delayed draw component to a solar renewables developer in an acquisition finance transaction*
- Represented a private equity sponsor in the disposition of its portfolio of renewables assets in Mexico*
- Represented a financial institution sponsor in connection with a solar and storage facility, concerning the tax equity portion of the financing*
- Represented a private, family-owned laboratory in multiple strategic acquisitions of service companies*
