Net New Logo Incentive Program H2 2023

  1. Eligibility. Under these Official Rules, the SolarWinds Global Partner Program H2 (“Program”) is open only to open only to eligible resellers or partners in Canada and the United States who are eighteen (18) years of age or older. Federal, state, or local government employees are not eligible to participate. Employees of SolarWinds Worldwide, LLC, and any of its affiliates or subsidiaries (“SolarWinds”) are also ineligible to participate, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Program is subject to federal, state, and local laws and regulations and is void where prohibited.
  2. Agreement to Official Rules.The Program Terms and Conditions (“Terms” or “Official Rules”) govern your participation in the Program, and it is your responsibility to read and understand the Terms. By participating in the Program, you represent and warrant that (a) you agree to and will comply with the Terms and (b) you are in compliance with, and will continue to comply with, any policy(ies) your employer may have regarding participation in this type of program.
  3. How it Works.This incentive is applicable to new licenses and/or upgrades and does not include renewals, services, maintenance, FED, or SLED opportunities (“Opportunities” or “Opportunity”). Opportunities for net-new customers are eligible for an additional ten percent (10%) margin. A net-new customer is a customer domain that has not purchased any SolarWinds licenses in the last three years (“Net-New Customer”). Only one program, special offer, or discount may apply per Opportunity. For Opportunities that include other SolarWinds licenses, reseller will receive the previously agreed upon margin. SolarWinds, in its sole discretion, may decline Opportunities at any time.
  4. Qualifying Opportunities.To qualify, Opportunities must be net new opportunities, meaning new Opportunities that have never been submitted to SolarWinds by any partner, reseller, or party, do not currently exist in SolarWinds’ system, and contain the following information:
    • End user organization name
    • End user contact information (address, phone, email)
    • Product(s) of interest
    • Approval process
    • Next steps
    • Timeframe for potential purchase
    • Reseller contact information
    • Distributor contact information
    • If Opportunity is with an existing SolarWinds customer, provide SWID
  5. What You Can Get. Qualified Opportunities submitted between 12:00 PM CT July 01, 2023, until December 31, 2023, and close them by December 31, 2023, will receive an additional ten percent (10%) for Opportunities that include a Net-New Customer. All other Opportunities will receive standard margin as dictated by the SolarWinds Partner Agreement. SolarWinds will be under no obligation to accept any Opportunity and may reject or decline to accept any Opportunity for any or no reason, at its sole discretion. You will not be eligible to receive the additional margin if: (a) you fail to follow the procedures set forth herein, (b) SolarWinds is already involved in discussions relating to the sale and/or purchase of SolarWinds products; (c) the Opportunity involves a customer who is on a list of restricted or prohibited parties unable to purchase software from SolarWinds; and (d) the Opportunity puts the reseller or partner in breach of any duty to act impartially or in good faith.
  6. Timing.The Program is currently scheduled to run from July 01, 2023, until December 31, 2023, and close them by December 31, 2023. SolarWinds reserves the right to modify any of the Terms of the Program at any time. Your continued participation in the Program constitutes your acceptance of any changes made to these Program Terms. You are responsible for remaining knowledgeable as to any changes that SolarWinds may make to these Program Terms. The most current version of the Program Terms will be posted on the SolarWinds website and will supersede all previous versions of the Program Terms.
  7. General Terms and Conditions. SolarWinds reserves the right to discontinue the participation privileges of any person who engages in any fraudulent activity or uses the Program in a manner inconsistent with these Program Terms or any federal or state laws, statutes or ordinances. Discontinued participation privileges may result in the loss of the additional margin and entry into the sweepstakes drawing. In addition to discontinuance of participation privileges, SolarWinds shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion. Failure by SolarWinds to enforce any term of these Official Rules shall not constitute a waiver of that provision.
  8. Disputes; Governing Law.Except where prohibited, you agree that all disputes, claims, and causes of action arising out of, or connected with, the Program or program provided shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Texas. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, your rights and obligations, or the rights and obligations of SolarWinds in connection with the Program, shall be governed by, and construed in accordance with, the laws of Texas, without giving effect to any choice of law or conflict of law rules (whether of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Texas.
  9. Release and Limitation of Liability.By participating in the Program, you agree to release and hold harmless SolarWinds, its subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Program or receipt or use of any program, including, but not limited to: (a) unauthorized human intervention in the Program; (b) technical errors related to computers, servers, providers, or telephone, or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Program or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Program or receipt or use of any program. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Program, and in no event shall the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
